Terms of Service

These Terms of Service ("Terms") govern your access to and use of Clarive Cloud ("Service"), operated by PinkRooster, trading as Clarive ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Service Description
Clarive Cloud is a hosted prompt management platform that helps teams write, refine, and manage AI prompts. The Service includes iterative AI-assisted prompt generation with quality scoring, version history, team workspaces, a REST API, and a prompt playground.
Clarive Cloud is the hosted version of the open-source Clarive project, which is available under the MIT License. You may choose to self-host Clarive at any time as an alternative to using the cloud Service.
2. Accounts
To use the Service, you must create an account with a valid email address or by signing in with Google OAuth. You are responsible for maintaining the security of your account and for all activity that occurs under it.
You agree to provide accurate and complete information when creating your account and to keep this information up to date. You must notify us immediately if you become aware of any unauthorized use of your account.
Accounts are created for individual use within a team or organization. You may not share account credentials with others. Each person who accesses the Service should have their own account.
3. Credits
The Service operates on a credit-based system. AI-powered actions — such as generating, refining, and enhancing prompts — consume credits from your account balance. The number of credits consumed per action is displayed in the application before you confirm the action.
New accounts receive a one-time welcome bonus of free credits. These credits are identical to purchased credits and follow the same rules described below.
Key terms for credits:
- Non-refundable. Credit purchases cannot be refunded once credits have been delivered to your account. By completing a purchase, you consent to immediate delivery of credits and acknowledge that you waive your 14-day withdrawal right under the EU Consumer Rights Directive once delivery begins. We encourage you to start with the welcome bonus or a smaller pack to evaluate the Service before making larger purchases.
- No expiration. Credits do not expire. Your balance remains available for as long as your account is active.
- Account-level balance. Credits are shared across all members of your workspace. Any member with permission to use AI features can consume credits from the shared balance.
- Non-transferable. Credits cannot be transferred between accounts or workspaces.
4. Payment Processing
All payments for credit packs are processed by Lemon Squeezy (Lemon Squeezy, LLC), which acts as the Merchant of Record for all transactions. When you purchase credits, you are entering into a transaction with Lemon Squeezy, not directly with Clarive.
Lemon Squeezy handles all payment processing, invoicing, sales tax, and VAT calculations. Clarive does not store or have access to your payment card details. Lemon Squeezy's terms and privacy policy apply to your payment transactions. For payment-related inquiries, you may contact Lemon Squeezy directly or reach out to us at legal@clarive.app.
Prices for credit packs are displayed in US dollars unless Lemon Squeezy's localization converts them to your local currency. All prices are inclusive of applicable taxes, which Lemon Squeezy calculates at checkout.
5. Acceptable Use
You agree not to use the Service to:
- Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
- Violate any applicable law, regulation, or third-party right.
- Attempt to gain unauthorized access to other accounts, the Service infrastructure, or any connected systems.
- Interfere with or disrupt the Service or servers or networks connected to the Service.
- Use automated means (bots, scrapers) to access the Service beyond the provided API, without prior written permission.
- Resell, sublicense, or redistribute access to the Service or credits without our written consent.
We reserve the right to suspend or terminate accounts that violate this Acceptable Use policy. Where possible, we will notify you of the violation and provide an opportunity to remedy it before termination. If you believe an enforcement action was made in error, you may appeal by contacting legal@clarive.app.
6. Intellectual Property
Your content. You retain all rights to the prompts, templates, and content you create using the Service. Clarive does not claim ownership of your content. You grant us a limited license to store, process, and display your content solely to provide the Service to you.
AI-generated outputs. Content generated or refined by the AI features of the Service is provided to you for your use. We do not claim ownership of AI-generated outputs. However, AI outputs may not be unique — similar inputs from different users may produce similar results.
Our intellectual property. The Service, including its design, code (excluding the open-source components licensed under MIT), branding, and documentation, is owned by Clarive and protected by applicable intellectual property laws.
7. Service Availability
We strive to maintain high availability of the Service, but we do not guarantee uninterrupted or error-free operation. The Service is provided on an "as is" and "as available" basis.
We may perform scheduled maintenance that temporarily reduces availability. We will make reasonable efforts to notify users in advance of planned maintenance windows.
AI accuracy. AI-generated content is produced by third-party language models and is not guaranteed to be accurate, complete, or suitable for any particular purpose. You are responsible for reviewing and validating all AI outputs before use. Quality scores provided by the Service are indicative and should not be treated as guarantees of output quality.
8. Termination
You may close your account at any time from your account settings or by contacting us at legal@clarive.app. Upon account closure:
- Your remaining credit balance will be forfeited. Credits are non-refundable.
- Your prompts, templates, and workspace data will be deleted within 30 days.
- You may export your data before closing your account using the built-in export functionality or the REST API.
We may suspend or terminate your account if you violate these Terms or if we are required to do so by law. We will provide notice where reasonably possible and, where applicable, an opportunity to resolve the issue before termination.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Clarive shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.
Our total cumulative liability to you for all claims arising from or related to the Service shall not exceed the greater of (a) the total amount you have paid to us for credits in the twelve (12) months preceding the claim, or (b) €50.
This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
10. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you via email or an in-app notice at least 30 days before the changes take effect.
Your continued use of the Service after the 30-day notice period constitutes acceptance of the updated Terms. If you do not agree with the changes, you may stop using the Service and close your account before the changes take effect.
11. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of the Netherlands.
If you are a consumer in the EU, you may also submit a complaint through the European Commission's Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr. This does not affect your right to bring proceedings in your local courts as provided by applicable consumer protection law.
